The following terms and conditions apply to all website development / design services provided by Assistia to the Client.
Authorization: The above-named client is engaging ASSISTIA as an independent contractor for the specific project of developing and/or improving (redesign) an Internet Site. The client hereby authorizes ASSISTIA to access the current domain account [if any] and web hosting account [if any] in order to switch them over to Assistia’s virtual hosting space.
The client also authorizes ASSISTIA to publicize their completed website to Web search engines, other Web directories, and indexes, as well as to Assistia’s client’s page.
Standard Website Package Elements: ASSISTIA includes the following elements in their Standard Website Packages:
Domain Registration is supplied through Assistia. A yearly fee will be charged. [The first year included.]
Web Hosting is supplied through Assistia. A Yearly fee will be charged [The first year included.]
Site optimized for search engines & SSL for First year Free,
Maintenance: Updating links and making changes to the text. Periodical checks throughout the year of all links to make sure they’re still active.
We also have maintenance packages for our clients to choose from with additional charges.
For clients who don’t purchase the maintenance package, ASSISTIA is not responsible for any maintenance-related job.
For clients who purchase the maintenance package, ASSISTIA will not give the hosting files access. Once the access is given to the client ASSISTIA will not take any responsibility.
Website Packages and Content: The content of the web pages will be supplied by the client. This website includes unlimited static web pages and e-mail setups.
Completion Date: ASSISTIA and the client must work together to complete the website in a timely manner. We agree to work expeditiously to complete the website no later than 30 DAYS from Initial Contract Approval, receipt of all required. Client material and receipt of 50% [non-refundable if contract canceled by the client of the agreed upon web design fee.
If the client does not supply ASSISTIA with complete text and graphics for all web pages contracted within four weeks of the date this contract was signed, the entire amount of the contract becomes due and payable.
Assistia will not be responsible for any delays, missed milestones (where specified in the Project), or additional expenses incurred due to the late delivery or non-delivery of the Client Content or input where required by the Developer for the Project.
Fees: The website will be published on the World Wide Web once all the due are paid. Detailed information regarding our payment terms can be found in the Estimation that we will provide to all our clients.
The cheque must be written as “Assistia ”.
If the project is terminated, Assistia has the right to bill the Client for the work performed. Any prior payment by the Client is non-refundable.
CRM or E-mail queries will be responded to free of charge for confirmed Clients according to Terms & Conditions. Meetings and consultations will be charged at the discretion of Assistia, in accordance with these Terms and Conditions, quoted and agreed to.
The client agrees to reimburse us for any requested expenses which do not form part of our proposal including but not limited to the purchase of templates, third-party APIs, stock photographs, fonts, domain name registration, web hosting or comparable expenses.
Assignment of Project: ASSISTIA reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.
On design completion of the Client’s website, the website will be activated for 2 (two) working days, in order for the Client to preview and respond with amendments and/or improvements, within these 2 (two) working days, in writing by e-mail or CRM.
Any additional work required by the Client on a previously completed project will be considered as a separate project and will therefore incur charges of its own.
Training & Tutorials: Customer service is an integral part of our business strategy, our projects include a one-time complimentary training session in order for our clients to better make use of their new web technology. Additional training hours can be purchased at our standard hourly rate or applied against your existing maintenance contract.
Copyrights and Trademarks: The client represents ASSISTIA and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to ASSISTIA for inclusion in web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend ASSISTIA and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.
At the bottom of the website page(s) usually, it will say Copyright and the name of your business or company. The company does however reserve the right as the Company responsible for the design and/or development to place a small and unobtrusive link at the bottom of your website, thereby not hindering or distracting from your own website design.
As the design company, the company also reserves the right to display and link to your completed project as part of our portfolio, and to write about the project on other websites, in magazine articles, books, and written or digital publications of any design and source. Please inform us in advance of the project’s first invoice stage if you do not want us to add your site to our portfolio of work.
Laws Affecting Electronic Commerce: From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend ASSISTIA and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client’s exercise of Internet electronic commerce.
Copyright to Web pages: The copyright on the designed website is transferred to the Client after full payment has been made, the client is assigned rights to use as a website the design and graphics contained in the finished assembled website. The client has the right to Transfer the company / maintenance company anytime.
Payment of fees: In order for ASSISTIA to remain in business, payments must be made promptly. Delinquent bills will be assessed a $99 charge if payment is not received within 15 days of the due date. ASSISTIA reserves the right to remove web pages from viewing on the Internet until final payment is made. If an amount remains delinquent 30 days after its due date, an additional 10% penalty will be added for each month of delinquency and the website will be “turned off” from public viewing with a Splash Page. ASSISTIA reserves the right to “turn off” the website at any given time past the actual due date. If an amount remains delinquent 60 days after its due date, all files will be removed from the server and no duplication rights or usage will be granted. In case of collection proves necessary, the client agrees to pay all fees incurred by that process. This Agreement becomes effective immediately upon website publishing and clients are encouraged to read Agreement terms carefully and thoroughly and ask questions to ASSISTIA if they should arise.
Sole Agreement: The agreement contained in this Website Design Agreement constitutes the sole agreement between ASSISTIA, its subcontractors, and the client regarding this website. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for 12 months after all parties sign this contract.
Contract. Assistia Designs and tests websites to work on its own/trusted servers, and cannot guarantee correct functionality if the Client wishes to use a third-party server. In the event that the Client is using a third-party server, it is the responsibility of the Client and any third-party host to ensure that the server is compatible with the website. Assistia will assist the Client to configure the server if this is required. However, this may be subject to additional charges.
Assistia is not responsible for any paid/unpaid Software / Templates / Addons / APIs / Graphics / Frameworks License if the owners decided to stop providing their sources.
There are no required maintenance fees. Most people do some work on their site every year, for which we offer several plans. We can make certain parts of the site updatable by you by implementing a custom Content Management System. For work we do on the site after going live, we charge on an hourly basis. If you anticipate regular maintenance, you can purchase a prepaid maintenance package that offers a discounted hourly rate. If necessary, we can customize a maintenance plan to suit your needs.
This agreement begins with an initial payment of 50% [non-refundable if the contract is canceled by the client] The undersigned agrees to the terms of this agreement on behalf of his or her organization or business.
